1. Acceptance of Terms
By creating an account or using the CodeOrch platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation. If you do not agree to these Terms, do not use the Service.
2. Eligibility
You must be at least 16 years old to use the Service. By using the Service, you represent that you meet this requirement and that all information you provide is accurate and current.
3. Accounts
- —You are responsible for maintaining the confidentiality of your API keys and account credentials.
- —You are responsible for all activity that occurs under your account.
- —You must notify us immediately at [email protected] if you suspect unauthorised access.
- —We reserve the right to suspend or terminate accounts that violate these Terms.
4. Permitted Use
The Service is provided for lawful software development orchestration. You may use the Service to:
- —Connect AI coding agents (Claude Code, Cursor, Aider, etc.) to your projects via MCP.
- —Store, search, and retrieve task context, code briefings, and decision records.
- —Automate task orchestration workflows within your own projects.
- —Integrate the Service into internal tooling and commercial products you build.
5. Prohibited Use
You may not:
- —Use the Service for any illegal purpose or in violation of applicable laws.
- —Attempt to gain unauthorised access to any part of the Service or its infrastructure.
- —Resell, sublicense, or white-label the Service without our prior written consent.
- —Use the Service to store or transmit malware, viruses, or other harmful code.
- —Scrape, crawl, or systematically extract data from the Service in a way that degrades performance.
- —Reverse-engineer, decompile, or disassemble the Service except as permitted by law.
- —Impersonate any person or entity or misrepresent your affiliation with any person or entity.
- —Upload content that infringes any third party's intellectual property or privacy rights.
6. Data & Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described therein.
7. Intellectual Property
Your content
You retain all rights to code, tasks, decisions, and other content you upload (“Your Content”). You grant CodeOrch a limited, non-exclusive licence to process Your Content solely to provide the Service to you.
Our IP
All software, algorithms, designs, trademarks, and documentation that make up the Service are owned by CodeOrch or its licensors. Nothing in these Terms transfers any ownership of our intellectual property to you.
Feedback
If you provide feedback or suggestions, you grant us a royalty-free, perpetual licence to use and incorporate them into the Service without compensation to you.
8. Payment & Billing
- —Paid plans are billed in advance on a monthly or annual cycle, depending on your selection.
- —All fees are non-refundable except as required by law or as stated in our refund policy.
- —We may change pricing with 30 days' written notice. You may cancel before the change takes effect.
- —Unpaid accounts may be downgraded to the free tier after a 14-day grace period.
- —Taxes (VAT, GST, etc.) may be added to invoices depending on your jurisdiction.
9. Free Tier
The free tier is provided as-is with no uptime guarantee. We reserve the right to modify, limit, or discontinue the free tier at any time with 30 days' notice. Free tier usage in excess of stated limits may be rate-limited without notice.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. AI-GENERATED CONTENT (BRIEFINGS, PLANS, CODE SUGGESTIONS) MAY CONTAIN ERRORS AND SHOULD BE REVIEWED BY A QUALIFIED DEVELOPER BEFORE USE IN PRODUCTION.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CODEORCH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless CodeOrch and its affiliates from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
13. Termination
By you
You may terminate your account at any time from your account settings. Deletion is permanent and data will be removed within 30 days.
By us
We may suspend or terminate your access immediately if you breach these Terms, engage in abusive behaviour, or fail to pay applicable fees. We will notify you by email where practicable.
Effect of termination
Upon termination, all licences granted to you under these Terms cease. Sections on intellectual property, disclaimer, liability, indemnification, and governing law survive termination.
14. Changes to Terms
We may update these Terms at any time. We will notify you of material changes via email or an in-app notice at least 14 days before they take effect. Continued use after the effective date constitutes your acceptance of the revised Terms.
15. Governing Law & Disputes
These Terms are governed by the laws of the European Union and the member state in which CodeOrch is registered, without regard to conflict-of-law principles. Any dispute that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the courts in that member state. Nothing prevents either party from seeking urgent injunctive relief in any jurisdiction.
16. Miscellaneous
- —These Terms constitute the entire agreement between you and CodeOrch regarding the Service.
- —If any provision is found unenforceable, the remaining provisions remain in full effect.
- —Our failure to enforce any right or provision is not a waiver of that right.
- —You may not assign your rights under these Terms without our written consent. We may assign ours freely.
